Welcome to Soap Envelope®. These policies (the “Policy” or “Policies”) govern your use of our website, products, and services. By accessing or using this site, placing an order, or interacting with Soap Envelope® in any way, you agree to be bound by these terms.

1. Returns & Exchanges

1.1 Wholesale Orders (B2B)

All wholesale purchases of Soap Envelope® products (including but not limited to case packs, bulk orders, and orders placed under wholesale, distributor, or reseller terms) are considered final sale.

• No returns, exchanges, or refunds are accepted for wholesale orders, except where required by applicable law.
• It is the responsibility of the wholesale customer to inspect goods upon receipt and promptly notify us of any issues required by law (e.g. damaged or mis-shipped items) within a reasonable timeframe.

1.2 Consumer / Direct-to-Consumer Orders (B2C)

Due to the nature of bath and personal care products, we can only accept returns of unused products in their original, unopened packaging.

• Products that have been opened, used, partially used, washed, or otherwise removed from their original packaging are not eligible for return or refund.
• To be eligible for a return, items must be:
  • Unused and in resellable condition, and
  • In the original, intact packaging with all labels, inserts, and accessories included, and
  • Purchased directly from our official Soap Envelope® store or website.

1.3 Return Process

If you believe your order qualifies for a return under the terms above, please contact us before sending anything back. Returns sent without prior authorization may be refused.

• Return shipping costs are the sole responsibility of the customer.
• Soap Envelope® does not provide prepaid return labels.
• Original shipping charges (if any) are non-refundable, except where required by law.
• We reserve the right to inspect returned items and to refuse or reduce refunds if items are not received in acceptable condition (e.g. used, damaged, or missing components).
• Product must be returned within 30 days of receipt in unopened original packaging to be eligible for refund.

1.4 Damaged, Defective, or Incorrect Items

If you receive a product that is damaged in transit, defective, or not what you ordered, please contact us as soon as reasonably possible with your order number and photos of the issue. We will work with you in good faith to find an appropriate resolution in accordance with applicable law (which may include replacement, store credit, or refund at our discretion).

3. Intellectual Property

3.1 Ownership

The Soap Envelope® brand, including but not limited to all logos, word marks, trade dress, product designs, packaging, website content, images, graphics, product names, and marketing materials (collectively, the “Intellectual Property”), is owned or controlled by 2723734 Ontario Inc., or used under license.

3.2 Trademarks

Soap Envelope® is a registered trademark owned by 2723734 Ontario Inc. All associated logos, distinctive product shapes, colour schemes, and other branding elements may constitute trademarks, trade dress, or other forms of intellectual property protection under applicable law.

• No use of the Soap Envelope® name, logo, tagline, packaging design, or any confusingly similar marks is permitted without the prior, express written consent of 2723734 Ontario Inc.
• You may not register, attempt to register, or use any mark, domain name, social media handle, or other identifier that includes “Soap Envelope” or any confusingly similar variation.

3.3 Copyright

All original content on this website and associated with the Soap Envelope® brand, including but not limited to product photos, artwork, illustrations, text, sewing patterns, design drawings, CAD renderings, packaging artwork, videos, and marketing materials, is protected by copyright and related laws.

• You may not reproduce, distribute, modify, adapt, translate, publicly display, or create derivative works from our copyrighted materials without our prior written authorization.
• This includes, without limitation, the copying of product seams, construction methods, sewing patterns, material combinations, and overall product “look and feel” in a manner that reproduces or closely imitates the appearance of Soap Envelope® products.

3.4 Designs & Patent Rights

Certain Soap Envelope® product designs, including but not limited to the appearance, configuration, and functional aspects of our products (such as pouches, dishes, and related accessories), may be protected by design registrations, industrial design rights, and/or patent rights (including patent-pending applications).

• Any unauthorized manufacture, sale, importation, or distribution of products that embody or imitate such protected designs or patent-pending features may constitute infringement and will be addressed accordingly.
• This includes unauthorized reproduction of sewing patterns, product silhouettes, unique hardware configurations, mesh combinations, and other distinctive design elements that together create the recognizable likeness of Soap Envelope® products.

3.5 Prohibited Uses

Without limiting the generality of the above, you agree that you will not:

• Use our trademarks or logos in connection with any product or service that is not Soap Envelope® or an authorized affiliate/reseller;
• Copy, imitate, or replicate the distinctive visual appearance, sewing patterns, mesh combinations, labels, or packaging design of Soap Envelope® products in a way that is likely to cause confusion or dilute our brand;
• Use our Intellectual Property in any way that suggests endorsement, sponsorship, or affiliation without a written agreement;
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices on our products or website.

3.6 Enforcement

We take intellectual property rights seriously. We reserve all rights to enforce our trademarks, copyrights, designs, and patent rights to the fullest extent permitted by law, including seeking injunctive relief, damages, and recovery of legal costs where available.

4. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall Soap Envelope®, 2723734 Ontario Inc., its directors, officers, employees, agents, suppliers, or affiliates be liable for any:

• Indirect, incidental, special, consequential, exemplary, or punitive damages, or
• Loss of profits, revenue, data, goodwill, or business opportunities,

arising out of or related to your use of our website, products, or services, whether based in contract, tort (including negligence), strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.

In any case, and without limiting the foregoing, the total aggregate liability of Soap Envelope® and 2723734 Ontario Inc. for any claim arising out of or relating to your purchase or use of our products or services shall be strictly limited to the amount actually paid by you for the specific product or order giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages or implied warranties. In such cases, the limitations above shall apply only to the extent permitted by applicable law.

5. Governing Law & Jurisdiction

These Policies and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without giving effect to any choice or conflict of law provision or rule.

You agree that the courts located in the Province of Ontario, Canada shall have exclusive jurisdiction over any legal proceedings arising out of or relating to these Policies, your use of our website, or your purchase or use of Soap Envelope® products, subject to any mandatory consumer protection laws that may provide you with additional rights.

6. General Terms

6.1 No Waiver

The failure of Soap Envelope® or 2723734 Ontario Inc. to enforce any right or provision of these Policies shall not be deemed a waiver of such right or provision.

6.2 Severability

If any provision of these Policies is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, such provision shall be severed from the remaining provisions, which shall continue to be valid and enforceable to the fullest extent permitted by law.

6.3 Changes to These Policies

We may update or revise these Policies from time to time. When we do, we will update the “Last updated” date at the top of this page. Your continued use of our website or purchase of our products after any such changes constitutes your acceptance of the revised Policies.
